Career Opportunity:

We are currently recruiting a Legal Officer for our Amsterdam office. The successful candidate will demonstrate an eagerness to learn and have a flexible approach to their work. 

You will have the following responsibilities:

  • To ensure that contracts are negotiated within the guidelines of the Board and duly signed by the client company, and for all other activities relevant to the client company;
  • To operate bank accounts for the client company’s activities and operational expenses;
  • Following group guidelines, in particular as to approved banks and standard terms, to manage relationships with banks and group companies, in particular processing payments;
  • To ensure proper collection and payment of amounts due; and
  • To maintain appropriate office space, and administrative support (the particulars of which will be regulated by a service contract between the Company and the client companies.).
  • Drafting of circular resolutions of the board of Directors;
  • Assist with the incorporation of Dutch entities;
  • Ensure completeness or corporate files / information including director’s registers, authorised signatories list, share registers;
  • Providing assistance and information to all internal business units;
  • Based on templates, preparing the circular resolution, management report, proxies, minutes and attendance list, agreements, board packs;
  • Control tracking and tracing legal documents;
  • Responsible for filing and organizing legal files;
  • Managing all different processes with regards to the Trade Registry of the Dutch Chamber of Commerce (prepare documents for filing and to ensure that the Register of the Chamber of Commerce is informed of any relevant changes of the client companies);
  •  Liaising with the Dutch authorities;
  • Help with the due diligence of the potential and existing client entities; and
  • To prepare documents for filing with The Netherlands Register of the Chamber of Commerce and to ensure that the Register of the Chamber of Commerce is informed of any relevant changes of the client companies.

Your skills:

  • A background in law with knowledge of Dutch and other European countries’ law
  • A minimum of 3 years’ experience in a corporate legal role
  • Strong company secretarial experience
  • Ability to develop and manage client relationships
  • Fluent in English,  with excellent written and verbal communication skills 
  • Ability to communicate in an international working environment with all levels of staff
  • Highly motivated and pro-active with the ability to prioritise workloads to meet tight deadlines
  • Strong administrative and organisational skills
